1. Services

Phiptra Labs provides AI-powered lead handling system setup and ongoing management, including:

Setup (one-time):

  • CRM configuration (GoHighLevel or Close)

  • Qualification criteria configuration

  • Lead source and webhook connections

  • SMS line setup and message template creation

  • End-to-end system testing

  • Go-live confirmation call

Monthly Management:

  • System monitoring and queue review

  • SMS outreach operation

  • Qualification and routing adjustments

  • CRM field and pipeline updates

  • Message template refinements

  • Support via Slack or WhatsApp

  • Monthly 30-minute check-in call

Not included:

  • CRM setup, cleanup, or rebuilds

  • Sales scripts, setter training, or closer coaching

  • Outbound lead generation or paid advertising

  • Custom architecture outside stated scope

Any services outside this scope require a separate written agreement.

2. Payment Terms

The one-time setup fee is due in full before configuration begins and is non-refundable once work has started. The monthly retainer is billed from the go-live date. Invoices not paid within 7 days may result in suspension of services. Accounts more than 14 days past due may have services paused until full payment is received.

3. Cancellation and Termination

Client may cancel monthly services with 30 days written notice to dylanp@phiptralabs.com. No prorating is provided after notice is given. Phiptra Labs may terminate services with 14 days notice for violations of these Terms or non-payment. Upon termination, Phiptra Labs will deactivate all automations and disconnect the system. Client retains access to their own CRM data and records. All workflows, automation logic, and system configurations remain the property of Phiptra Labs and will not be transferred to the Client upon termination. The dedicated SMS phone number used to contact the Client's leads is registered to Phiptra Labs' Sendblue account and will not be transferred or ported to the Client upon termination. Phiptra Labs retains no access to Client's CRM after offboarding is complete.

4. Client Responsibilities

Client agrees to: provide timely access to their CRM and required credentials, ensure their CRM is functional before work begins, review and approve all message templates before go-live, respond to requests within 3 business days to avoid delays, and notify Phiptra Labs of any material changes to their offer, ICP, or pipeline that may affect system performance.

5. CRM and System Access

Client expressly authorizes Phiptra Labs to access, configure, and operate within their CRM and connected tools for the purpose of delivering the agreed services. This authorization is in effect for the duration of the engagement and is revoked upon termination. Phiptra Labs will not access Client systems for any purpose outside the scope of services.

6. SMS and TCPA Compliance

Client is the sender of record for all SMS messages sent through the system. Client warrants that all contacts receiving SMS messages have provided prior express written consent as required by the Telephone Consumer Protection Act (TCPA), and that their contact lists and outreach practices comply with all applicable laws. Phiptra Labs is not responsible for any TCPA violations or legal claims arising from Client's contact lists or messaging content. Client agrees to indemnify and hold Phiptra Labs harmless from any such claims.

7. Use of AI

Client acknowledges that Phiptra Labs uses artificial intelligence tools in the design, configuration, and operation of lead handling systems, including for qualification, response generation, and routing logic. Phiptra Labs does not guarantee specific outcomes from AI-assisted processes and retains the right to update AI tooling as part of ongoing service delivery.

8. Limitation of Liability

Phiptra Labs' total liability for any claim shall not exceed the total fees paid by Client in the three months preceding the claim. Phiptra Labs is not liable for indirect, incidental, consequential, or punitive damages including lost revenue, lost leads, or business interruption.

9. Indemnification

Client agrees to indemnify and hold harmless Phiptra Labs from any claims, damages, or expenses arising from Client's data or contact lists, Client's violation of TCPA or any applicable law, or any third-party claim arising from Client's business operations.

10. Intellectual Property

Phiptra Labs retains ownership of all system configurations, workflows, automation logic, and proprietary methods. Client retains ownership of their own data and CRM records. Clients may not resell or transfer Phiptra Labs' system configurations to third parties.

11. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. Phiptra Labs will not disclose Client business information to third parties. Client will not disclose Phiptra Labs' system architecture or workflows to third parties.

12. Governing Law

These Terms are governed by the laws of the State of Colorado. Any disputes shall be resolved in the courts of Colorado.

13. Dispute Resolution

Both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Colorado under the rules of the American Arbitration Association.

14. Entire Agreement

These Terms, together with any signed proposal or statement of work, constitute the entire agreement between the parties and supersede all prior discussions or agreements. Any modifications must be made in writing and agreed to by both parties.
